Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Altaradius Technologies Pvt Ltd, operating as TradeTorq, in association with AltaQF Tech - FZCO ("Company," "we," "us," or "our") governing your access to and use of the TradeTorq platform, including our website, mobile applications, API, and all related services (collectively, the "Services").

TradeTorq is developed, maintained, and owned by Altaradius Technologies Pvt Ltd, Bengaluru, Karnataka, India. AltaQF Tech - FZCO, Dubai, UAE, is an affiliated partner supporting global distribution and operations.

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. If you do not agree to these Terms, you may not access or use the Services.

1.1 Binding Agreement

By creating an account, accessing our website, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference.

1.2 Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Comply with all local, state, national, and international laws and regulations
• Not be located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country

1.3 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must discontinue use of the Services.

2. Eligible Customers

2.1 Eligibility Requirements

You are only eligible to access the Services if:

• You are a natural person at least eighteen (18) years of age and not subject to restrictions based on your nationality or residency
• You are a legal entity that is not established or incorporated in a Restricted Jurisdiction, provided that the beneficial owner is also individually eligible
• You are not subject to relevant international sanctions, including sanctions lists of the European Union, the Office of Foreign Assets Control (OFAC), the United Nations, or any applicable local authority
• You do not have a criminal record related to financial crime or terrorism
• You meet the requirements of our "know your customer" or similar identification procedures

2.2 Business Entities

If you provide a business identification number, tax registration number, or similar information, or if you state that you are a legal entity, you will not be considered a Consumer for the purposes of these Terms.

2.3 Compliance

You may only access and use the Services in accordance with applicable law and these Terms. You represent that at the time of registration you meet the eligibility criteria in this section. If you cease to meet the eligibility criteria, you must notify us immediately.

3. Services Are Not Regulated Financial Services

3.1 No Regulatory Oversight

None of the Services are subject to laws regulating the financial sector in any country where we provide the Services. We are not regulated by the Securities and Exchange Board of India (SEBI), the Dubai Financial Services Authority (DFSA), or any similar authority overseeing the financial sector. As a result, you will not receive regulatory protection associated with the financial sector with respect to the Services.

3.2 No Financial Advice

None of the Services constitute financial, investment, legal, or tax advice or a recommendation to buy, sell, or hold any financial product or to engage in any particular investment strategy.

3.3 No Trading Guidance

We do not give any guidance, instructions, or information about how or in which manner you should perform trades when using the Services. Similarly, we do not accept any such guidance or instructions from you. You should obtain independent financial, legal, or tax advice regarding your specific circumstances.

3.4 Platform Only

TradeTorq is purely a software platform that provides tools for traders to manage and execute their own trading decisions. We are a technology provider — not a broker, dealer, financial advisor, or fiduciary. All trading activity conducted through the platform is entirely at your own risk and discretion.

4. Account Registration and Security

4.1 Account Creation

You must create an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

4.2 Account Security

• You are solely responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized access or security breach
• We are not liable for any loss or damage arising from your failure to secure your account
• You may not share, sell, or transfer your account to any third party

4.3 Trading Platform Credentials

When connecting third-party trading platforms, you grant us permission to access your trading data solely for providing the Services. You are responsible for ensuring you have authorization from your broker to use automated trading tools.

5. Use of Services

5.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

5.2 Prohibited Uses

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for illegal trading activities or market manipulation
• Reverse engineer, decompile, or disassemble any part of the Services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems (bots, scrapers) except as explicitly permitted
• Interfere with or disrupt the Services or servers
• Transmit viruses, malware, or harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Collect user information without consent
• Use the Services to compete with us or develop competing products
• Resell or redistribute the Services without authorization
• Remove, alter, or obscure any proprietary notices

5.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time without liability. Scheduled maintenance will be communicated when possible.

7. Fees and Payment

7.1 Subscription Fees

Access to certain features requires a paid subscription. Current pricing is available on our website. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.

7.2 Payment Processing

• Payments are processed through third-party payment processors (Stripe, PayPal)
• You authorize us to charge your payment method on file
• You must provide accurate billing information and update it as needed
• Failed payments may result in service suspension or termination

7.3 Price Changes

We reserve the right to modify subscription fees. We will provide at least 30 days' notice of any price increases. Continued use after a price change constitutes acceptance.

7.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Services.

7.5 Refund Policy

We offer a 7-day free trial for new users. Subscription fees are generally non-refundable. Refunds may be issued at our sole discretion or as required by applicable law.

8.1 Ownership

The Services, including all software, designs, text, graphics, logos, interfaces, code, and documentation, are developed, maintained, and owned by Altaradius Technologies Pvt Ltd (operating as TradeTorq) and protected by intellectual property laws. All rights not expressly granted are reserved.

8.2 Trademarks

TradeTorq, DevDeck, and associated logos are trademarks of Altaradius Technologies Pvt Ltd. You may not use our trademarks without prior written permission.

8.3 User Content

You retain ownership of any content you submit. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for providing and improving the Services.

8.4 Feedback

Any feedback, suggestions, or ideas you provide become our property, and we may use them without compensation or attribution.

9. Third-Party Services and Integrations

9.1 Broker Integrations

Our Services integrate with third-party trading platforms and brokers. You must comply with their terms of service. We are not responsible for their actions, policies, or availability.

9.2 Third-Party Links

The Services may contain links to third-party websites or services. We do not endorse or assume responsibility for third-party content or practices.

9.3 API Usage

If you use our API, you must comply with our API documentation and rate limits. API access may be subject to additional terms and conditions.

10. Data Usage and Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms. By using the Services, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

10.1 Trading Data

We may collect and analyze aggregated trading data to improve our Services. We do not sell your personal trading data to third parties.

10.2 Data Security

While we implement security measures to protect your data, no system is completely secure. You acknowledge that data transmission over the Internet carries inherent risks.

11. Termination

11.1 Termination by You

You may terminate your account at any time through account settings or by contacting support. Termination does not entitle you to a refund of prepaid fees.

11.2 Termination by Us

We may suspend or terminate your access immediately, without notice, for:

• Violation of these Terms
• Fraudulent, illegal, or harmful activities
• Non-payment of fees
• Prolonged inactivity
• Risk to our systems or other users
• Any reason at our sole discretion

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your account data after 90 days, subject to legal retention requirements. Provisions that by their nature should survive (including disclaimers, indemnification, and limitations of liability) will survive termination.

12. Warranties and Disclaimers

12.1 AS-IS Service

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

12.2 No Warranty of Results

We do not warrant that the Services will meet your requirements, be uninterrupted, secure, error-free, or produce any particular trading results.

12.3 Third-Party Warranties

We disclaim all warranties and conditions with respect to third-party services, platforms, and integrations.

14. Indemnification

You agree to indemnify, defend, and hold harmless TradeTorq and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your trading decisions and activities
• Your breach of any applicable laws or regulations
• Content you submit or transmit through the Services

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at admin@altaradius.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

15.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in [Your Jurisdiction], and judgment on the award may be entered in any court having jurisdiction.

15.3 Class Action Waiver

YOU AND TRADETORQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.4 Exceptions

Either party may seek injunctive relief or other equitable relief in court to prevent infringement or misuse of intellectual property rights.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC) and the United Arab Emirates, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts of Dubai, UAE.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and TradeTorq.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in, or a national of, any country subject to U.S. embargo or export restrictions.

17.7 Language

These Terms are written in English. Any translated versions are provided for convenience only. In case of conflict, the English version shall prevail.

18. Affiliate and Promotion Partners

18.1 Partner Program

Any individual, trading community, broker, introducing broker, content creator, or business entity may associate with Altaradius Technologies Pvt Ltd to promote TradeTorq, subject to the terms of a separate partnership agreement and these Terms.

18.2 Independence of Partners

Partners act independently and are not employees, agents, or legal representatives of Altaradius Technologies Pvt Ltd or AltaQF Tech - FZCO. Partners do not have the authority to bind, obligate, or make commitments on behalf of the Company.

18.3 No Liability for Partner Actions

Altaradius Technologies Pvt Ltd and AltaQF Tech - FZCO are not responsible for any representations, promises, guarantees, or actions made by any affiliate, promotion partner, or third party. Partners must not misrepresent TradeTorq's capabilities or make any guarantees of trading profits, financial outcomes, or investment returns. Any such representations are made solely by the partner and are not endorsed, approved, or sanctioned by us.

18.4 Platform Disclaimer

TradeTorq is a software platform only. We are not a broker, financial advisor, investment manager, or fiduciary. We bear no responsibility for trading outcomes, whether a user was referred by a partner or otherwise. All users are solely responsible for their own trading decisions.
